Module content and teaching

Principal aims

The module offers a comprehensive analysis of the fundamental principles and concepts of UK company law and an introduction to some of the key policy issues facing lawyers, practitioners and theorists in this area of law today. The module begins by tracing the historical development of the corporate form in its social and economic context. Comparisons are drawn with other forms of business organisation such as partnerships and cooperatives. Important social and political developments, e.g. in relation to privatisation, to the imposition of corporate criminal liability, are also addressed early on in the module. The main part of the module goes on to deal exclusively with the modern incorporated company - its formation and dissolution, its financial structure, the establishment and regulation of relations between its board of directors and shareholders and between the company itself and other stakeholder groups such as creditors and employees. The role of the judiciary, auditors and self-regulatory bodies in defining, monitoring and controlling ‘undesirable’ corporate practices is also examined, together with an assessment of the impact of UK membership of the European Union on UK company law.
