Constitution of the Graduates’ Association

Name
The name of the Association shall be ‘The University of Warwick Graduates’ Association’.

Object
The object of the Association shall be to help in promoting the work and welfare of the University.

Membership
Membership shall be open to graduates and honorary graduates and former students of the University of Warwick.

Executive Committee
The affairs of the Association shall be in the hands of an Executive Committee, consisting of the President, the Treasurer, the Secretary, up to five ordinary members and up to four honorary members to include the Vice-Chancellor, the Registrar and the President of the Union of Students. There shall be positions of Honorary President and one or more Honorary Vice Presidents. The position of Honorary President is to be held ex-officio by the Vice-Chancellor.
The members of the Executive Committee shall be elected at the Annual General Meeting and shall each serve until the following Annual General Meeting but shall be eligible for re-election except that a member who has served for four years shall be ineligible for re-election for the ensuing year.

General Meeting
The Annual General Meeting shall be held once in each year, when the Executive Committee shall submit audited accounts, estimates and a general report.
General Meetings shall be held as and when determined by the Executive Committee. Notice of a General Meeting shall be given in writing to each member of the Association at least one calendar month before the Meeting is to be held. The Executive Committee shall be responsible for formulating whatever regulations it considers fit for the conduct of its meetings and of the Annual General Meeting and General Meetings of the Association.

Entrance Fees and Subscriptions shall be fixed at an Annual General Meeting and remain in force until amended at a later General Meeting.

All investments shall be held in the name of the University as Trustees to the Association. The Trustees shall hold such investments for the purposes of the Association, subject to the directions of the Association expressed through the Executive Committee.

After meeting the expenses of the administration necessary for the working of the Association, all funds subscribed to or otherwise entrusted to the Association shall be held or used for promoting the objects of the Association in such manner as the Executive Committee shall deem expedient, subject always to any instructions which may be given by the Association in General Meeting and, in the case of contributions other than entrance fees or subscriptions, to any restrictions to particular objects which may be imposed by individual contributors.

Changes in Constitution
A two-thirds majority of members present and voting at a General Meeting may propose changes to this Constitution but such changes shall not take effect unless approved by the Council of the University of Warwick.
